Why Delaware matters disproportionately

More than 60% of Fortune 500 companies and a majority of US publicly-listed companies are incorporated in Delaware, regardless of where they actually do business. Delaware’s Court of Chancery is the leading US trial court for corporate-law disputes, and its corporate-law decisions guide commercial practice nationwide. Diligence on most major US corporate counterparties will require a Delaware-source check.

Corporate filings

Delaware Division of Corporations — Entity Search

Type: State corporate-entity register. · Maintained by: Delaware Department of State, Division of Corporations.

Cost / access: Free basic name search (existence, file number, status, registered agent). Per-document fee for filings. Online ordering supported.

Useful for: Verifying Delaware corporations, LLCs, LPs, statutory trusts, and other Delaware-chartered entities. Identifying registered agent and current status. Note: most large US companies are Delaware-chartered even when headquartered elsewhere.

Limitations: Delaware filings are deliberately minimal. The Certificate of Incorporation and annual franchise-tax filings are public, but officers, directors, and beneficial owners are not in Delaware public records (unless disclosed federally to the SEC or via FinCEN reporting).

Delaware Public Archives — Corporate Document Search

Cost / access: Per-document fee. Mail or in-person ordering for older records.

Useful for: Corporate documents pre-dating the electronic register, dissolved entities, and historical name changes.

Limitations: Older records may require manual archive search and physical retrieval.

Delaware Court of Chancery — Opinions

Type: State court of equity — the leading US forum for corporate-law disputes. · Maintained by: Delaware Court of Chancery.

Cost / access: Free for published opinions. Docket access through Delaware’s File & Serve Xpress system (paid).

Useful for: Corporate-governance disputes, mergers-and-acquisitions litigation, fiduciary-duty claims, books-and-records demands, appraisal proceedings, LLC and LP disputes, trusts and estates equity matters. Delaware Chancery opinions guide US corporate-law practice nationally and are cited in every major commercial jurisdiction.

Limitations: Equity jurisdiction only. Tort, contract-damages, and most commercial-litigation cases sit in Delaware Superior Court. Settled or withdrawn matters typically do not produce a published opinion.

Delaware General Corporation Law (DGCL)

Useful for: The statutory text governing most US public companies. Reference for fiduciary-duty rules, board procedures, merger and acquisition mechanics, dissenters’ rights, indemnification, and corporate restructuring. Title 8 of the Delaware Code is the core.

Delaware Department of Insurance — Producer & Carrier Search

Useful for: Verifying licensed insurance producers, surplus-line brokers, and admitted insurance carriers operating in Delaware. Includes administrative actions and disciplinary history.

Delaware Recorder of Deeds — County Offices

Useful for: Deeds, mortgages, easements, restrictive covenants, mechanic’s liens. Each Delaware county maintains its own recorder.

Limitations: Delaware uses a county-recorder system rather than a state-wide land registry. Search interfaces and online availability differ between counties.

Tax and franchise

Delaware Division of Revenue — Franchise Tax Search

Type: Annual franchise-tax filing record. · Maintained by: Delaware Division of Corporations.

Cost / access: Free name-based search; per-document fee for filings.

Useful for: Confirming whether a Delaware entity is in good standing on its annual franchise-tax obligations. “Good standing” is a useful proxy for ongoing administrative compliance.

Limitations: Tax-compliance status only — does not indicate solvency or commercial activity.
